(For the provision of SMS notification services on number HUMO)

Tashkent, "10" February 2025

This document is an official offer (public offer) to individuals who are holders of plastic bank cards of the "HUMO" Payment System (hereinafter referred to as the "User") to conclude an agreement for the provision of services using the "HUMO OTP Code Delivery" service (hereinafter referred to as the "Agreement").

The "HUMO OTP Code Delivery" service (hereinafter referred to as the "Service") is technically provided by LLC "Octotelecom" (hereinafter referred to as the "SMS Center") in cooperation with mobile operators of the Republic of Uzbekistan (hereinafter referred to as the "Operator(s)").

By performing the actions provided for in this Offer, the User unconditionally agrees to the terms set out below (acceptance of the Offer). From the moment of acceptance of the Offer, the Agreement is considered concluded.

In all matters not directly covered by the Agreement, the parties shall be governed by the current legislation of the Republic of Uzbekistan and established business practices.

TERMS AND DEFINITIONS

SMS Center – a legal entity that provides information and technical support and ensures the operation of the Service.

User – a legally capable individual who is a holder of a plastic bank card of the "HUMO" Payment System and who has connected the Service.

"HUMO OTP Code Delivery" Service (hereinafter referred to as the "Service") – a set of information and technological solutions through which a bank card holder can receive SMS notifications and alerts on their mobile phone about transactions on their card account.

Bank (Plastic) Card – a payment card of the "HUMO" payment system that operates online and is issued by a bank in the Republic of Uzbekistan.


ACCEPTANCE PROCEDURE

2.1. Acceptance of this Offer is carried out by the User connecting the Service (linking the Service to their mobile number) at the issuing bank branch of their "HUMO" payment system bank card or via an ATM. More information about connecting the Service is available on the website www.humocard.uz.

2.2. If you do not agree with the terms listed below, please do not use the Service.


SUBJECT OF THE AGREEMENT

3.1. The SMS Center provides holders of plastic cards of the "HUMO" payment system with a service that allows the cardholder to receive SMS messages with six-digit one-time OTP codes for:

3.1.1. Connecting a bank card to a bank or payment organization application;

3.1.2. Confirming online transactions conducted on websites using the bank card.

3.2. The Service is provided only if the User's mobile number, to which the Service is linked, belongs to the number base of an Operator with which the SMS Center has an agreement for the provision of such services.

3.3. At the same time, the SMS Center has the right, if necessary, to send Humo cardholders information via SMS notifications regarding all transactions made using their plastic bank card (funds credited, funds debited, balance on the card, etc.).

 

SERVICE COST AND PAYMENT PROCEDURE

4.1. The cost of the Service for the User is set at 84.2 sums for each incoming SMS from the operators Ucell, Humans, Beeline, Perfectum, UzMobile, and UMS.

4.2. Funds are debited automatically for each incoming message from the User’s mobile account to which the Service was linked when it was activated.

4.3. If the User’s mobile account has no funds for a period of less than three (3) calendar months or the mobile account is blocked for other reasons, the Service is temporarily suspended.

 

OBLIGATIONS OF THE PARTIES

5.1. The SMS Center undertakes to:
— Ensure the uninterrupted operation of the Service;
— Maintain the confidentiality of the User’s personal data, which became known to the SMS Center during the provision of the Service.

5.2. The User undertakes to:
— Comply with the requirements of this Offer;
— Independently ensure the information security of the device used to receive the Service;
— Not use the Service for illegal purposes.

5.3. The SMS Center has the right to unilaterally make changes to this Offer, notifying the User by publishing the changes on the SMS Center’s website and through mass media.

5.4. The SMS Center undertakes to promptly inform Users about news received from NMPC regarding cashless payments in SMS messages.

 

LIABILITY OF THE PARTIES

6.1. The parties are liable for non-performance or improper performance of the terms of this Agreement in accordance with the legislation of the Republic of Uzbekistan.

6.2. The SMS Center is not responsible for any losses incurred by the User due to the User's failure to read or delayed reading of the terms of this Offer.

6.3. The SMS Center is not responsible for improper performance of the Agreement if such non-performance was caused by reasons beyond the SMS Center’s control. The SMS Center's area of control is limited to the operation of the Service itself and does not include responsibility for the accuracy and timeliness of information received from the Humo system (NMPC), as well as failures caused by third parties or prohibitions/restrictions imposed by government authorities or courts.

6.4. The parties are released from liability for non-performance or improper performance of obligations under the Agreement if such non-performance resulted from force majeure circumstances that occurred after the conclusion of the Agreement and were of an extraordinary nature, which the parties could not have foreseen or prevented by reasonable measures (force majeure).

 

TERMINATION OF THE AGREEMENT

7.1. The User may terminate the Agreement at any time by disconnecting the Service at the issuing bank branch of their "HUMO" payment system bank card or via an ATM.

7.2. The Agreement is considered terminated immediately after the Service is disconnected.

7.3. Temporary suspension of the Service for reasons specified in clause 4.3 of the Offer does not constitute termination of the Agreement.

7.4. The Agreement is automatically terminated if the balance of the User’s mobile account linked to the Service remains zero (0) or negative (debt) for two (2) consecutive calendar months. In this case, the SMS Center will unilaterally disconnect the Service.

7.5. The SMS Center reserves the right to terminate the Agreement and disconnect the Service if the circumstances specified in clause 7.4 are repeated multiple times within a calendar year.

 

DISPUTE RESOLUTION PROCEDURE

8.1. Any dispute arising from this Agreement shall be resolved through negotiations or in a pre-trial procedure based on a written request from the User. The review period and requirements for the request are determined by the current legislation of the Republic of Uzbekistan.

8.2. If the dispute is not resolved in a pre-trial procedure, it shall be submitted to the court at the location of the defendant in accordance with the legislation of the Republic of Uzbekistan.

 

OTHER TERMS

9.1. In all matters not directly covered by the Agreement, the parties shall be guided by the current legislation of the Republic of Uzbekistan and established business practices.

9.2. By accepting this Offer, the User confirms their unconditional agreement with all terms of the Agreement and undertakes to comply with them.
